Common use of Agreement of No Further Force or Effect Clause in Contracts

Agreement of No Further Force or Effect. If either the Purchaser or the Target wishes to terminate this Agreement pursuant to Section 9.1 (other than pursuant to Section 9.1(a)), such Party shall give written notice of such termination to the other Party. In the event of the termination of this Agreement as provided in Section 9.1, this Agreement will be of no further force or effect, except as otherwise expressly contemplated hereby and provided that the provisions in Sections 9.2, 10.1, 10.4, 10.5, 10.6, 10.7 and 10.9 shall survive any termination hereof; and provided further that no termination of this Agreement will relieve any Party of liability for any breaches of this Agreement that are based on a wrongful refusal or failure to perform any obligations under this Agreement.

Agreement of No Further Force or Effect. If either the Purchaser or the Target wishes to terminate this Agreement pursuant to Section 9.1 10.1 (other than pursuant to Section 9.1(a10.1(a)), such Party shall give written notice of such termination to the other Party. In the event of the termination of this Agreement as provided in Section 9.110.1, this Agreement will be of no further force or effect, except as otherwise expressly contemplated hereby and provided that the provisions in Sections 9.29.7, 10.19.8, 10.410.2, 10.512.1, 10.612.5, 10.7 12.6 and 10.9 12.7 shall survive any termination hereof; and provided further that no termination of this Agreement will relieve any Party of liability for any breaches of this Agreement that are based on a wrongful refusal or failure to perform any obligations under this Agreement.

In the event of the termination of this Agreement as provided in Section 9.112.1, this Agreement will be of no further force or effect, except as otherwise expressly contemplated hereby and provided that the provisions in Article 3 and Sections 9.212.2, 10.114.1, 10.414.3, 10.514.5, 10.6, 10.7 14.7 and 10.9 14.9 shall survive any termination hereof; and provided further that no termination of this Agreement will relieve any Party of liability for any breaches of this Agreement that are based on a wrongful refusal or failure to perform any obligations under this Agreement.

In the event of the termination of this Agreement as provided in Section 9.111.1, this Agreement will be of no further force or effect, except as otherwise expressly contemplated hereby and provided that the provisions in Sections 9.211.2, 10.113.1, 10.413.4, 10.513.5, 10.613.6, 10.7 13.7 and 10.9 13.9 shall survive any termination hereof; and provided further that no termination of this Agreement will relieve any Party of liability for any breaches of this Agreement that are based on a wrongful refusal or failure to perform any obligations under this Agreement.

If either the Purchaser or the Target Prismic wishes to terminate this Agreement pursuant to Section 9.1 10.1 (other than pursuant to Section 9.1(a10.1(a)), such Party shall give written notice of such termination to the other Party. In the event of the termination of this Agreement as provided in Section 9.1, Party and this Agreement will be of no further force or effect, except as otherwise expressly contemplated hereby and provided that the provisions in Sections 9.29.6, 10.19.8, 10.410.2, 10.511.1, 10.611.2, 10.7 12.1 and 10.9 12.6 shall survive any termination hereof; and provided further that no termination of this Agreement will relieve any Party of liability for any breaches of this Agreement that are based on a wrongful refusal or failure to perform any obligations under this AgreementAgreement by such Party.

In the event of the termination of this Agreement as provided in Section 9.113.1, this Agreement will be of no further force or effect, except as otherwise expressly contemplated hereby and provided that the provisions in Sections 9.211.10, 10.111.11, 10.413.2, 10.515.1, 10.615.5, 10.7 15.7 and 10.9 15.8 shall survive any termination hereof; and provided further that no termination of this Agreement will relieve any Party of liability for any breaches of this Agreement that are based on a wrongful refusal or failure to perform any obligations under this Agreement.
