Common use of Agreement of the Placement Agent Clause in Contracts

Agreement of the Placement Agent. The Placement Agent agrees that it shall not include any “issuer information” (as defined in Rule 433 under the Securities Act) in any free writing prospectus used or referred to by such Placement Agent without the prior consent of the Company (any such issuer information with respect to whose use the Company has given its consent, “Permitted Issuer Information”). The Placement Agent also agrees to provide to each Purchaser, prior to the closing of the Placement, a copy of the Prospectus Supplement and any amendments or supplements thereto.
