BETWEEN the Honourable XXXXX XXXXX M.L.A. the Premier of the State of Western Australia contracting for and on behalf of the said State and the Government and Instrumentalities thereof from time to time (hereinafter referred to as “the State”) of the one part and AMERICAN FACTORS ASSOCIATES, LIMITED a corporation organised under the laws of the State of Delaware United States of America and ARCTURUS INVESTMENT & DEVELOPMENT, LTD a corporation organised under the laws of Canada (hereinafter called “the Assignee”) of the second part collectively acting for and on behalf of a partnership to be registered under the provisions of the Limited Partnership Xxx 0000 of the State of Western Australia to be called ESPERANCE LAND & DEVELOPMENT COMPANY consisting of companies incorporated in Australia the United States of America or England.
Agreement ratified. (1) The Agreement is ratified.
(2) The implementation of the Agreement is authorised.
(3) Without limiting or otherwise affecting the application of the Government Agreements Xxx 0000, the Agreement shall operate and take effect notwithstanding any other Act or law.
(4) To avoid doubt, it is declared that the provisions of the Public Works Xxx 0000 section 96 do not apply to a railway constructed under the Agreement.
Agreement ratified. (1) For the purposes of clause 2(1) of the Agreement, the Agreement is ratified.
(2) The implementation of the Agreement is authorised.
(3) Subject to section 4A, the provisions of the Agreement shall operate and take effect according to their terms notwithstanding anything to the contrary in any Act or law in force in the Territory.
(4) Where a provision of the Agreement provides for the modification of an Act or law in force in the Territory, the Act or law shall, for the purposes of the Agreement, operate and take effect as provided for in the Agreement as if the Act or law had been so modified.
(5) Subject to section 4A, an Act passed after the commencement of this Act shall not amend, modify or repeal a provision of the Agreement or affect the operation of a provision of the Agreement unless the Act expressly provides accordingly.
(6) The Territory, its Ministers, instrumentalities and authorities and any local government authority are authorised, empowered and required to do all things necessary or expedient for the carrying out or giving full effect to the Agreement.
(7) Subject to this Act and the Agreement, the Company, its servants, agents and contractors shall observe and comply with all Acts and laws in force in the Territory applicable in any way to the XxXxxxxx River Project.
Agreement ratified. The Agreement is ratified and confirmed without amendment, except as specifically provided above.

Except as expressly amended hereby, the Agreement is in all respects ratified and confirmed, and all of the terms, provisions and conditions thereof shall be and remain in full force and effect, and this Amendment and all of its terms, provisions and conditions shall be deemed to be a part of the Agreement. All capitalized terms used herein and not defined shall have the meanings given them in the Agreement.

LTD. a company incorporated in Western Australia and having its registered office at care of Robox Nominees Pty. Ltd., 00xx Xxxxx, X & X Xxxxx, 000 Xx. Xxxxxx’s Terrace, Perth (hereinafter called “the Joint Venturers” in which term shall be included their respective successors and permitted assigns) of the second part and TIO2 CORPORATION NL a company incorporated in Western Australia and having its registered office at 0xx Xxxxx, 0000 Xxx Xxxxxx, Xxxx Xxxxx and XXXX-XxXXX CHEMICAL CORPORATION a company incorporated in the State of Delaware in the United States of America and having its principal place of business at Xxxx-XxXxx Center, Oklahoma City, Oklahoma, United States of America (hereinafter called “the Guarantors”) of the third part.

The legislature ratifies the tentative agreement negotiated for the 2020−21 fiscal year between the state of Wisconsin, the division of personnel management in the department of administration, and the Wisconsin State Building Trades Negotiating Committee, covering employees in the building trades crafts collective bargaining unit under subchapter V of chapter 111 of the statutes, as approved by the employees of the building trades crafts collective bargaining unit and approved and recommended by the joint committee on employment relations, and authorizes the necessary expenditure of moneys for implementation from the appropriations made by section 20.865 (1) of the statutes, subject to section 20.865 (intro.) of the statutes. The administrator of the division of personnel manage- ment in the department of administration shall file an official copy of the agreement, certified by the cochair- persons of the joint committee on employment relations, with the secretary of state. No formal or informal agree- ment between the parties that is not a part of the official copy is deemed to be approved by the legislature under this act.

Agreement ratified. Except as modified by this Amendment, the Borrower and the Lenders do hereby ratify and reaffirm each and every provision of the Credit Agreement. The Credit Agreement shall remain in full force and effect in accordance with its terms, as modified by this Amendment. This Amendment shall bind and inure to the benefit of the Borrower and the Lenders and their respective successors and permitted assigns under the Credit Agreement.
