Agreement Regarding Business Combination. Subject to the terms and conditions of the Arrangement Agreement, Goldcorp shall co-operate with Glamis to effect the Business Combination and holders of outstanding Glamis Common Shares, Glamis Restricted Shares and Glamis Options shall be entitled to receive Goldcorp Common Shares as contemplated in the Arrangement Agreement.
