Agreement Subject to Laws. If any provision of this Agreement, or the -------------------------- application thereof to any party or any circumstance, shall be found to be contrary to or inconsistent with or unenforceable under any applicable law, rule, regulation or order, such applicable law, rule, regulation or order shall control and this Agreement shall be deemed modified accordingly; but the remainder of this Agreement, and the application of such provisions to the other parties or circumstances, shall not be affected thereby; and in all other respects, the Agreement shall continue in full force and effect.
