Agreement to Advance Expenses; Conditions. (a) Subject to the Companies Law and the provisions of this Agreement, the Company will fund all of the legal and other expenses (“Defence Costs”) properly incurred or to be properly incurred by the Indemnitee in defending any criminal or civil proceedings in connection with any alleged negligence, default, breach of duty or breach of trust by him or her in relation to the Company or in connection with any Relevant Application. Any request for funding under this Section 8 shall be made in writing by the Indemnitee to the Company and determined by resolution of the Board, subject to such conditions as the Board thinks fit.
