Common use of Agreement to Authenticate and Deliver Certificates Clause in Contracts

Agreement to Authenticate and Deliver Certificates. With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant to and receipt by it of the related Underlying Securities and delivery to it by the Depositor of executed Certificates and Coupons, if any, of such Series, cause to be authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities and such other assets constituting the Trust for a given Series, Certificates duly authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 and 5.13.

Agreement to Authenticate and Deliver Certificates. With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant to and receipt by it of the related Underlying Securities and delivery to it by the Depositor of executed Certificates and Coupons, if any, of such SeriesSecurities, cause to be executed, authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities and such other assets constituting the Trust for a given Series, Certificates duly authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 and 5.13.

With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant to and receipt by it of the related Underlying Securities Term Assets and delivery to it by the Depositor of executed Certificates and Coupons, if any, of such Series, cause to be authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities Term Assets and such other assets constituting the Trust for a given Series, Certificates duly authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 5.2 and 5.13.

With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant to and receipt by it of the related Underlying Securities Deposited Assets and delivery to it by the Depositor of executed Certificates and Coupons, if any, of such Series, cause to be authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities Deposited Assets and such other assets constituting the Trust for a given Series, Certificates duly authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 5.2 and 5.13.

Agreement to Authenticate and Deliver Certificates. With respect to each Series of Certificates and the related Trust, the The Trustee hereby agrees and acknowledges that it will, concurrently with the Grant Transfer to and receipt by it of the related Underlying Securities and the Swap Guarantee and delivery to it by the Depositor of the executed Certificates Trust Agreement and Coupons, if any, by the Swap Counterparty of such Seriesthe executed Swap Agreement, cause to be executed, authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities and such other assets constituting the Trust for a given SeriesProperty, Certificates duly executed and authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such SeriesProperty, all in accordance with the terms and subject to the conditions of Sections 5.02 and 5.13Section 5.02.

With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant sale to and receipt by it of the related Underlying Securities and delivery to it by the Depositor Trustor of executed Certificates and Coupons, if any, of such Series, cause to be authenticated and delivered to or upon the written order of the DepositorTrustor, in exchange for the Underlying Securities and such other assets constituting the Trust for a given Series, Certificates duly authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 5.2 and 5.13.

With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant to and receipt by it of the related Underlying Securities and delivery to it by the Depositor of executed Certificates and Coupons, if any, of such Series, cause to be authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities and such other assets constituting the Trust for a given Series, Certificates duly authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 and 5.135.11.

With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant sale to and receipt by it of the related Underlying Securities and delivery to it by the Depositor of executed Certificates and Coupons, if any, of such Series, cause to be executed, authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities and such other assets constituting the Trust for a given SeriesSeries or other adequate consideration as specified in the applicable Series Supplement, Certificates duly executed and authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 5.2 and 5.13.

With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant sale to and receipt by it of the related Underlying Securities Term Assets and delivery to it by the Depositor of executed Certificates and Coupons, if any, of such Series, cause to be authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities Term Assets and such other assets constituting the Trust for a given Series, Certificates duly authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 5.2 and 5.13.

With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant to and receipt by it of the related Underlying Securities and delivery to it by the Depositor of executed Certificates and Coupons, if any, of such Series, cause to be authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities and such other assets constituting the Trust for a given Series, Certificates duly authenticated by or on behalf of the Trustee in authorized denominations an Authorized Denomination evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 and 5.13Section 5.02.

With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant to and receipt by it of the related Underlying Securities Deposited Assets and delivery to it by the Depositor of executed Certificates and Coupons, if any, of such Series, cause to be authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities Deposited Assets and such other assets constituting the Trust for a given Series, Certificates duly authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 and 5.13.

Agreement to Authenticate and Deliver Certificates. With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant sale to and receipt by it of the related Underlying Securities and delivery to it by the Depositor Trustor of executed Certificates and Coupons, if any, of such Series, cause to be executed, authenticated and delivered to or upon the written order of the DepositorTrustor, in exchange for the Underlying Securities and such other assets constituting the Trust for a given SeriesSeries or other adequate consideration as specified in the applicable Series Supplement, Certificates duly executed and authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 5.2 and 5.13.

Agreement to Authenticate and Deliver Certificates. With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant to and receipt by it of the related Underlying Securities and delivery to it by the Depositor of executed Certificates and Coupons, if any, of such Series, cause to be authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities and such other assets constituting the Trust for a given Series, Certificates duly authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 and 5.135.14.

With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant sale to and receipt by it of the related Underlying Securities and delivery to it by the Depositor of executed Certificates and Coupons, if any, of such Series, cause to be authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities and such other assets constituting the Trust for a given Series, Certificates duly authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 5.2 and 5.13.

Agreement to Authenticate and Deliver Certificates. With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant to transfer of and receipt by it of the related Underlying Securities and delivery to it by the Depositor Trustor of executed forms of Certificates and Coupons, if any, of such Series, cause to be executed, authenticated and delivered to or upon the written order of the DepositorTrustor, in exchange for the Underlying Securities and such other assets constituting to be transferred to the Trust for a given Series, Certificates duly executed and authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 5.2 and 5.13.

Agreement to Authenticate and Deliver Certificates. With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant to to, and receipt by it of of, the related Underlying Securities Trust Estate and delivery to it by the Depositor of executed Certificates and Coupons, if any, of such Series, cause to be authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities and such other assets Trust Estate constituting the Trust for a given Series, Certificates duly authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 and 5.135.14.

With respect to each Series of Certificates and the related Trust, the Trustee hereby agrees and acknowledges that it will, concurrently with the Grant to transfer of and receipt by it of the related Underlying Securities Term Assets and delivery to it by the Depositor of executed forms of Certificates and Coupons, if any, of such Series, cause to be executed, authenticated and delivered to or upon the written order of the Depositor, in exchange for the Underlying Securities Term Assets and such other assets constituting to be transferred to the Trust for a given Series, Certificates duly executed and authenticated by or on behalf of the Trustee in authorized denominations evidencing ownership of the entire Trust for such Series, all in accordance with the terms and subject to the conditions of Sections 5.02 5.2 and 5.13.
