Agreement to Authenticate and Deliver Certificates. The Trustee acknowledges the transfer, delivery and assignment to it of the Trust Property, and concurrently with such transfer and delivery, the Trustee has executed, authenticated and delivered, to or upon the order of the Depositor, the Certificates duly executed and authenticated by the Trustee in authorized denominations evidencing ownership of the entire Trust Property and registered in such names as the Depositor shall direct in writing, all in accordance with the terms and subject to the conditions hereof.
