Common use of Agreement to Exchange Shares Clause in Contracts

Agreement to Exchange Shares. On the Closing Date, and upon the terms and subject to the conditions set forth in this Agreement, the Company shall issue to each Holder, and each Holder, severally and not jointly, shall accept from the Company, such number of shares of Common Stock as is indicated on such Holder's signature page attached hereto (the "Issuance"), in exchange for each Holder surrendering to the Company certificates for the number of Shares as indicated on such Holder's signature page (the "Exchange"). The exchange rate shall be 110.5 shares of Common Stock for each Share.
