Agreement to Governing Law and Jurisdiction. This MSA as well as the Commercial Agreement shall be governed exclusively by the laws of Austria (without regard to its conflict of law rules and to CISG). Exclusive legal venue for all disputes under or in connection with this MSA shall be with the courts of Vienna, Austria, having subject matter and territorial jurisdiction. This does not apply to xxxxxxx proceedings and to cases of mandatory statutory venues which may not be derogated by party agreement.
