(a) With regard to those Funds noted on Exhibit A which pay asset-based sales charges under Distribution and Shareholder Services Plans adopted pursuant to Rule 12b-1 under The Investment Company Act of 1940, as amended ("Rule 12b-1 Fees"), OGDS hereby appoints Financial Institution to render or cause to be rendered distribution and sales services to the Funds and their shareholders.
