Common use of Agreement to Purchase and Sell Shares Clause in Contracts

Agreement to Purchase and Sell Shares. Subject to the terms and conditions of this Agreement, Seller and the Individual Sellers agree to sell, transfer and assign to Buyer, and Buyer agrees to purchase, on the Closing Date (as defined in Section 8.07 below), the Shares, free and clear of all security interests, pledges, liens, encumbrances, charges, or restrictions on the ownership, use, voting, transfer, receipt of dividends or other attributes of ownership.

Agreement to Purchase and Sell Shares.
