Common use of Agreement to Purchase and Sell Clause in Contracts

Agreement to Purchase and Sell. On the Closing Date (as defined in Section 1.8) and upon the terms and subject to the conditions set forth in this Agreement, Sellers shall sell, assign, transfer, convey and deliver the Shares to Purchaser free and clear of all Liens (as hereinafter defined) and Purchaser shall purchase the Shares from Sellers.
