Agreement to Purchase the Shares. On the terms and subject to the conditions set forth in this Agreement, at the Closing, Seller will sell, convey, assign, transfer and deliver to Acquiror, free and clear of all Liens, and Acquiror will purchase, acquire and accept from Seller, the Shares, including all Seller's right, title and interest therein and thereto.
