Agreement to Repay Letter of Credit Drawings. (a) The Borrower hereby agrees to reimburse the relevant Issuing Bank by making payment in Dollars or to the Administrative Agent for the account of such Issuing Bank (whether with its own funds or with proceeds of the Loans) in immediately available funds, for any payment or disbursement made by such Issuing Bank under any Letter of Credit issued by it (each such amount so paid until reimbursed, an “Unpaid Drawing”) (i) within one Business Day of the date of such payment or disbursement if such Issuing Bank provides notice to the Borrower of such payment or disbursement prior to 11:00 a.m. (New York City time) on such next succeeding Business Day (from the date of such payment or disbursement) or (ii) if such notice is received after such time, on the next Business Day following the date of receipt of such notice (such required date for reimbursement under clause (i) or (ii), as applicable, on such Business Day (the “Reimbursement Date”)), with interest on the amount so paid or disbursed by such Issuing Bank, from and including the date of such payment or disbursement to but excluding the Reimbursement Date, at the per annum rate for each day equal to the rate described in Section 2.8(a); provided that, notwithstanding anything contained in this Agreement to the contrary, with respect to any Letter of Credit, (i) unless the Borrower shall have notified the Administrative Agent and such Issuing Bank prior to 11:00 a.m. (New York City time) on the Reimbursement Date that the Borrower intends to reimburse such Issuing Bank for the amount of such drawing with funds other than the proceeds of Loans, the Borrower shall be deemed to have given a Notice of Borrowing requesting that the Lenders make Loans (which shall be ABR Loans) on the Reimbursement Date in an amount equal to the amount at such drawing, and (ii) the Administrative Agent shall promptly notify each L/C Participant of such drawing and the amount of its Loan to be made in respect thereof, and each L/C Participant shall be irrevocably obligated to make a Loan to the Borrower in the manner deemed to have been requested in the amount of its Commitment Percentage of the applicable Unpaid Drawing by 12:00 noon (New York City time) on such Reimbursement Date by making the amount of such Loan available to the Administrative Agent. Such Loans made in respect of such Unpaid Drawing on such Reimbursement Date shall be made without regard to the Minimum Borrowing Amount and without regard to the satisfaction of the conditions set forth in Section 7. The Administrative Agent shall use the proceeds of such Loans solely for purpose of reimbursing the relevant Issuing Bank for the related Unpaid Drawing. In the event that the Borrower fails to Cash Collateralize any Letter of Credit that is outstanding on the L/C Maturity Date, the full amount of the Letters of Credit Outstanding in respect of such Letter of Credit shall be deemed to be an Unpaid Drawing subject to the provisions of this Section 3.4 except that such Issuing Bank shall hold the proceeds received from the Lenders as contemplated above as cash collateral for such Letter of Credit to reimburse any Drawing under such Letter of Credit and shall use such proceeds first, to reimburse itself for any Drawings made in respect of such Letter of Credit following the L/C Maturity Date, second, to the extent such Letter of Credit expires or is returned undrawn while any such cash collateral remains, to the repayment of obligations in respect of any Loans that have not paid at such time and third, to the Borrower or as otherwise directed by a court of competent jurisdiction. Nothing in this Section 3.4(a) shall affect the Borrower’s obligation to repay all outstanding Loans when due in accordance with the terms of this Agreement. (b) The obligations of the Borrower under this Section 3.4 to reimburse the relevant Issuing Bank with respect to Unpaid Drawings (including, in each case, interest thereon) shall be absolute, unconditional and irrevocable under any and all circumstances and irrespective of any set-off, counterclaim or defense to payment that the Borrower or any other Person may have or have had against such Issuing Bank, the Administrative Agent or any Lender (including in its capacity as an L/C Participant), including any defense based upon (i) the failure of any drawing under a Letter of Credit (each a “Drawing”) to conform to the terms of the Letter of Credit, (ii) any non-application or misapplication by the beneficiary of the proceeds of such Drawing, (iii) any lack of validity or enforceability of any Letter of Credit or this Agreement, or any term or provision therein, (iv) any draft or other document presented under a Letter of Credit proving to be forged, fraudulent or invalid in any respect or any statement therein being untrue or inaccurate in any respect or (v) any other event or circumstance whatsoever, whether or not similar to any of the foregoing, that might, but for the provisions of this Section 3.4, constitute a legal or equitable discharge of, or provide a right of setoff against, the Borrower’s obligations hereunder; provided that the foregoing shall not be construed to excuse the relevant Issuing Bank from liability to the Borrower to the extent of any direct damages (as opposed to special, indirect, consequential or punitive damages, claims in respect of which are hereby waived by the Borrower to the extent permitted by applicable law) suffered by the Borrower that are caused by such Issuing Bank’s failure to exercise care pursuant to the applicable ICC Rule or applicable law when determining whether drafts and other documents presented under a Letter of Credit comply with the terms thereof. The Borrower agrees that any action taken or omitted to be taken by an Issuing Bank under or in connection with any Letter of Credit or the related drafts or documents, if done in the absence of gross negligence or willful misconduct (as finally determined by a court of competent jurisdiction), shall be binding on the Borrower and shall not result in any liability of such Issuing Bank to the Borrower; provided that the foregoing shall not be construed to excuse such Issuing Bank from liability to the Borrower to the extent of any direct damages suffered by the Borrower that are caused by such Issuing Bank’s failure to exercise care, when determining whether drafts and other documents presented under a Letter of Credit comply with the terms thereof as determined by a final and non-appealable judgment of a court of competent jurisdiction. In furtherance of the foregoing, the parties hereto agree that, with respect to documents presented which appear on their face to be in compliance with the terms of a Letter of Credit, the Issuing Bank that issued such Letter of Credit may in its sole discretion either accept or make payment upon such documents without responsibility for further investigation, regardless of any notice or information to the contrary, or refuse to accept and make payment upon such documents if such documents are not in strict compliance with the terms of such Letter of Credit (unless the Borrower shall consent to payment thereon not withstanding such lack of strict compliance).

(a) The Borrower hereby agrees to reimburse the relevant Issuing Bank Letter of Credit Issuer, by making payment in Dollars or to the Administrative Agent for in Dollars or in the account of such Issuing Bank (whether with its own funds or with proceeds of applicable Foreign Currency, as the Loans) case may be, in immediately available fundsfunds at the Administrative Agent’s Office, for any payment or disbursement made by such Issuing Bank the Letter of Credit Issuer under any Letter of Credit issued by it (each such amount (including the Dollar Equivalent thereof) so paid until reimbursed, an “Unpaid Drawing”) (i) within one Business Day of immediately after, and in any event on the date of of, such payment or disbursement if such Issuing Bank provides notice to the Borrower of such payment or disbursement prior to 11:00 a.m. (New York City time) on such next succeeding Business Day (from the date of such payment or disbursement) or (ii) if such notice is received after such time, on the next Business Day following the date of receipt of such notice (such required date for reimbursement under clause (i) or (ii), as applicable, on such Business Day (the “Reimbursement Date”))payment, with interest on the amount so paid or disbursed by the Letter of Credit Issuer, to the extent not reimbursed prior to 5:00 p.m. (Local Time) on the date of such Issuing Bankpayment or disbursement, from and including the date of such payment paid or disbursement disbursed to but excluding the Reimbursement Date, date the Letter of Credit Issuer is reimbursed therefor at the a rate per annum rate for each day equal that shall at all times be the Applicable ABR Margin plus the ABR as in effect from time to the rate described in Section 2.8(a)time; provided provided, that, notwithstanding anything contained in this Agreement to the contrary, with respect to any Letter of Credit, (i) unless the Borrower shall have notified the Administrative Agent and such Issuing Bank the Letter of Credit Issuer prior to 11:00 10:00 a.m. (New York City timeLocal Time) on the Reimbursement Date date of such drawing that the Borrower intends to reimburse such Issuing Bank the Letter of Credit Issuer for the amount of such drawing with funds other than the proceeds of Loans, the Borrower shall be deemed to have given a Notice of Borrowing to the Administrative Agent requesting that the Lenders make Dollar Revolving Credit Loans (which shall initially be ABR Loans) or Foreign Currency Revolving Credit Loans (each of which shall be Eurodollar Loans with an Interest Period of one month denominated in Sterling or Euro), as the case may be, on the Reimbursement Date date on which such drawing is honored in an amount equal to the amount at of such drawing, drawing and (ii) the Administrative Agent shall promptly notify each L/C Participant of such drawing and the amount of its Revolving Credit Loan to be made in respect thereof, and (x) in respect of Dollar Letters of Credit, each L/C Participant shall be irrevocably obligated to make a Dollar Revolving Credit Loan that is an ABR Loan to the Borrower in the manner deemed to have been requested in the amount of its Revolving Credit Commitment Percentage of the applicable Unpaid Drawing by 12:00 noon (New York City timeLocal Time) on such Reimbursement Date Business Day by making the amount of such Dollar Revolving Credit Loan available to the Administrative Agent at the Administrative Agent. Such Loans made ’s Office and (y) in respect of such Foreign Currency Letters of Credit, each L/C Participant shall be irrevocably obligated to make a Foreign Currency Revolving Credit Loan that is a Eurodollar Loan with an Interest Period of one month to the Borrower, denominated in Sterling or Euro, as the case may be, in the amount of its Revolving Credit Commitment Percentage of the applicable Unpaid Drawing by 12:00 noon (London time) on such Reimbursement Date Business Day by making the amount of such Foreign Currency Revolving Credit Loan available to the Administrative Agent at the Administrative Agent’s Office. Such Dollar Revolving Credit Loans or Foreign Currency Revolving Credit Loans shall be made without regard to the Minimum Borrowing Amount and without regard to the satisfaction of the conditions set forth in Section 7Amount. The Administrative Agent shall use the proceeds of such Revolving Credit Loans solely for the purpose of reimbursing the relevant Issuing Bank Letter of Credit Issuer for the related Unpaid Drawing. In the event that the Borrower fails to Cash Collateralize any Letter of Credit that is outstanding on the L/C Maturity Date, the full amount of the Letters of Credit Outstanding in respect of such Letter of Credit shall be deemed to be an Unpaid Drawing subject to the provisions of this Section 3.4 except that such Issuing Bank shall hold the proceeds received from the Lenders as contemplated above as cash collateral for such Letter of Credit to reimburse any Drawing under such Letter of Credit and shall use such proceeds first, to reimburse itself for any Drawings made in respect of such Letter of Credit following the L/C Maturity Date, second, to the extent such Letter of Credit expires or is returned undrawn while any such cash collateral remains, to the repayment of obligations in respect of any Loans that have not paid at such time and third, to the Borrower or as otherwise directed by a court of competent jurisdiction. Nothing in this Section 3.4(a) shall affect the Borrower’s obligation to repay all outstanding Loans when due in accordance with the terms of this Agreement.
(b) The Borrower’s obligations of the Borrower under this Section 3.4 to reimburse the relevant Issuing Bank Letter of Credit Issuer with respect to Unpaid Drawings (including, in each case, interest thereon) shall be absolute, absolute and unconditional and irrevocable under any and all circumstances and irrespective of any set-off, counterclaim or defense to payment that the Borrower or any other Person may have or have had against such Issuing Bankthe Letter of Credit Issuer, the Administrative Agent or any Lender (including in its capacity as an L/C Participant), including any defense based upon (i) the failure of any drawing under a Letter of Credit (each a “Drawing”) to conform to the terms of the Letter of Credit, (ii) Credit or any non-application or misapplication by the beneficiary of the proceeds of such Drawing; provided, (iii) any lack of validity or enforceability of any that the Borrower shall not be obligated to reimburse the Letter of Credit or this Agreement, or Issuer for any term or provision therein, (iv) any draft or other document presented under a wrongful payment made by the Letter of Credit proving to be forged, fraudulent or invalid in any respect or any statement therein being untrue or inaccurate in any respect or (v) any other event or circumstance whatsoever, whether or not similar to any of Issuer under the foregoing, that might, but for the provisions of this Section 3.4, constitute a legal or equitable discharge of, or provide a right of setoff against, the Borrower’s obligations hereunder; provided that the foregoing shall not be construed to excuse the relevant Issuing Bank from liability to the Borrower to the extent of any direct damages (as opposed to special, indirect, consequential or punitive damages, claims in respect of which are hereby waived by the Borrower to the extent permitted by applicable law) suffered by the Borrower that are caused by such Issuing Bank’s failure to exercise care pursuant to the applicable ICC Rule or applicable law when determining whether drafts and other documents presented under a Letter of Credit comply with issued by it as a result of acts or omissions constituting willful misconduct or gross negligence on the terms thereof. The Borrower agrees that any action taken or omitted to be taken by an Issuing Bank under or in connection with any part of the Letter of Credit or the related drafts or documents, if done in the absence of gross negligence or willful misconduct (as finally determined by a court of competent jurisdiction), shall be binding on the Borrower and shall not result in any liability of such Issuing Bank to the Borrower; provided that the foregoing shall not be construed to excuse such Issuing Bank from liability to the Borrower to the extent of any direct damages suffered by the Borrower that are caused by such Issuing Bank’s failure to exercise care, when determining whether drafts and other documents presented under a Letter of Credit comply with the terms thereof as determined by a final and non-appealable judgment of a court of competent jurisdiction. In furtherance of the foregoing, the parties hereto agree that, with respect to documents presented which appear on their face to be in compliance with the terms of a Letter of Credit, the Issuing Bank that issued such Letter of Credit may in its sole discretion either accept or make payment upon such documents without responsibility for further investigation, regardless of any notice or information to the contrary, or refuse to accept and make payment upon such documents if such documents are not in strict compliance with the terms of such Letter of Credit (unless the Borrower shall consent to payment thereon not withstanding such lack of strict compliance)Issuer.

Agreement to Repay Letter of Credit Drawings. Such Loans made in respect of such Unpaid Drawing on such Reimbursement Date shall be made without regard to the Minimum Borrowing Amount and without regard to the satisfaction of the conditions set forth in Section 7. The Administrative Agent shall use the proceeds of such Loans solely for purpose of reimbursing the relevant Issuing Bank for the related Unpaid Drawing. Such Loans made in respect of such Unpaid Drawing on such Reimbursement Date shall be made without regard to the Minimum Borrowing Amount and without regard to the satisfaction of the conditions set forth in Section 7. The Administrative Agent shall use the proceeds of such Loans solely for purpose of reimbursing the relevant Issuing Bank for the related Unpaid Drawing. In the event that the Borrower fails to Cash Collateralize any Letter of Credit that is outstanding on the L/C Maturity Date, the full amount of the Letters of Credit Outstanding in respect of such Letter of Credit shall be deemed interest to be an Unpaid Drawing subject to the provisions of this Section 3.4 except that such Issuing Bank shall hold the proceeds received from the Lenders as contemplated above as cash collateral for such Letter of Credit to reimburse any Drawing under such Letter of Credit and shall use such proceeds first, to reimburse itself for any Drawings made in respect of such Letter of Credit following the L/C Maturity Date, second, to the extent such Letter of Credit expires or is returned undrawn while any such cash collateral remains, to the repayment of obligations in respect of any Loans that have not paid at such time and third, to the Borrower or as otherwise directed by a court of competent jurisdiction. Nothing in this Section 3.4(a) shall affect the Borrower’s obligation to repay all outstanding Loans when due in accordance with the terms of this Agreementpayable on demand.
(b) The obligations of the Borrower under this Section 3.4 2.05 to reimburse the relevant any Issuing Bank with respect to Unpaid Drawings (including, in each case, interest thereon) shall be absolute, absolute and unconditional and irrevocable under any and all circumstances and irrespective of any set-offsetoff, counterclaim or defense de- fense to payment that which the Borrower or any other Person Credit Party may have or have had against such the Administrative Agent, the Documentation Agent, any Issuing Bank, the Administrative Agent any Participant or any Lender (including in its capacity as an L/C Participant)Bank, including including, without limitation, any defense based upon (i) the failure of any drawing under a Letter of Credit (each a “"Drawing”") to conform to the terms of the Letter of Credit, (ii) Credit or any non-application or misapplication by the beneficiary of the proceeds of such Drawing; provided, (iii) however, that the Borrower shall not be obligated to reimburse any lack of validity or enforceability of Issuing Bank for any Letter of Credit or this Agreement, or any term or provision therein, (iv) any draft or other document presented wrongful payment made by such Issuing Bank under a Letter of Credit proving to be forged, fraudulent as a result of acts or invalid in any respect omissions constituting willful misconduct or any statement therein being untrue or inaccurate in any respect or (v) any other event or circumstance whatsoever, whether or not similar to any gross negligence on the part of the foregoing, that might, but for the provisions of this Section 3.4, constitute a legal or equitable discharge of, or provide a right of setoff against, the Borrower’s obligations hereunder; provided that the foregoing shall not be construed to excuse the relevant Issuing Bank from liability to the Borrower to the extent of any direct damages (as opposed to special, indirect, consequential or punitive damages, claims in respect of which are hereby waived by the Borrower to the extent permitted by applicable law) suffered by the Borrower that are caused by such Issuing Bank’s failure to exercise care pursuant to the applicable ICC Rule or applicable law when determining whether drafts and other documents presented under a Letter of Credit comply with the terms thereof. The Borrower agrees that any action taken or omitted to be taken by an Issuing Bank under or in connection with any Letter of Credit or the related drafts or documents, if done in the absence of gross negligence or willful misconduct (as finally determined by a court of competent jurisdiction), shall be binding on the Borrower and shall not result in any liability of such Issuing Bank to the Borrower; provided that the foregoing shall not be construed to excuse such Issuing Bank from liability to the Borrower to the extent of any direct damages suffered by the Borrower that are caused by such Issuing Bank’s failure to exercise care, when determining whether drafts and other documents presented under a Letter of Credit comply with the terms thereof as determined by a final and non-appealable judgment of a court of competent jurisdiction. In furtherance of the foregoing, the parties hereto agree that, with respect to documents presented which appear on their face to be in compliance with the terms of a Letter of Credit, the Issuing Bank that issued such Letter of Credit may in its sole discretion either accept or make payment upon such documents without responsibility for further investigation, regardless of any notice or information to the contrary, or refuse to accept and make payment upon such documents if such documents are not in strict compliance with the terms of such Letter of Credit (unless the Borrower shall consent to payment thereon not withstanding such lack of strict compliance).

Agreement to Repay Letter of Credit Drawings. (a) The applicable Borrower hereby agrees to reimburse the relevant Issuing Bank Agent, by making payment in Dollars or to the Administrative Agent for the account of such Issuing Bank (whether with its own funds or with proceeds of the Loans) in immediately available fundsAgent, for any payment or disbursement made by such the Issuing Bank Agent under any Letter of Credit issued by it (each such amount amount, so paid until reimbursed, an “a "Unpaid Drawing”") as follows:
(i) within one Business Day the reimbursement by the applicable Borrower of a Unpaid Drawing under a Letter of Credit denominated in Dollars shall be made in Dollars and (ii) the reimbursement by the applicable Borrower of a Unpaid Drawing under a Letter of Credit denominated in a Eurocurrency other than Dollars shall be made (x) by payment in Dollars of the U.S. Dollar Equivalent, calculated on the date the Issuing Agent paid such Drawing, of the amount paid by the Issuing Agent pursuant to such Drawing, or (y) if the Issuing Agent shall elect by notice to the applicable Borrower, by payment in the Eurocurrency which was paid by the Issuing Agent pursuant to such Drawing in an amount equal to such Drawing and (iii) reimbursement in Dollars of a Unpaid Drawing shall be made (x) on the date such Drawing is paid, if the Issuing Agent provides notice to the Company by 12:00 Noon (New York time) of such payment or disbursement (y) by, if such the Issuing Bank Agent provides notice to the Borrower of such payment or disbursement prior to 11:00 a.m. Company after 12:00 Noon (New York City time) on such next succeeding Business Day (from the date of such payment or disbursement) or (ii) if such notice is received after such timepayment, on the next Business Day following Day, and (iv) reimbursement in a Eurocurrency other than Dollars of a Unpaid Drawing shall be made by no later than 12:00 Noon (local time) at the place of payment or if earlier, such local time as is necessary for such funds to be received and transferred to the Issuing Agent for same day value on the day such reimbursement obligation is due, (x) on the date of receipt such Drawing is paid, if the Issuing Agent provides notice to the Company by 11:00 A.M. (local time), any reimbursement of a Unpaid Drawing received after such time shall be deemed to have been received by the Issuing Agent on the next Business Day. The Issuing Agent shall give the applicable Borrower prompt notice of each day equal to the rate described in Section 2.8(a); provided that, notwithstanding anything contained in this Agreement to the contrary, with respect to Drawing under any Letter of Credit, (i) unless the Borrower shall have notified the Administrative Agent and such Issuing Bank prior to 11:00 a.m. (New York City time) on the Reimbursement Date provided that the Borrower intends failure to reimburse give any such Issuing Bank for the amount of such drawing with funds other than the proceeds of Loansnotice shall in no way affect, the Borrower shall be deemed to have given a Notice of Borrowing requesting that the Lenders make Loans (which shall be ABR Loans) on the Reimbursement Date in an amount equal to the amount at such drawing, and (ii) the Administrative Agent shall promptly notify each L/C Participant of such drawing and the amount of its Loan to be made in respect thereof, and each L/C Participant shall be irrevocably obligated to make a Loan to the Borrower in the manner deemed to have been requested in the amount of its Commitment Percentage of impair or diminish the applicable Unpaid Drawing by 12:00 noon (New York City time) on such Reimbursement Date by making the amount of such Loan available to the Administrative Agent. Such Loans made in respect of such Unpaid Drawing on such Reimbursement Date shall be made without regard to the Minimum Borrowing Amount and without regard to the satisfaction of the conditions set forth in Section 7. The Administrative Agent shall use the proceeds of such Loans solely for purpose of reimbursing the relevant Issuing Bank for the related Unpaid Drawing. Agreement to Repay Letter of Credit Drawings. Agreement to Repay Letter of Credit Drawings. In the event that the Borrower fails to Cash Collateralize under any Letter of Credit issued by it, provided that is outstanding on the L/C Maturity Date, the full amount of the Letters of Credit Outstanding in respect of such Letter of Credit shall be deemed failure to be an Unpaid Drawing subject to the provisions of this Section 3.4 except that such Issuing Bank shall hold the proceeds received from the Lenders as contemplated above as cash collateral for such Letter of Credit to reimburse any Drawing under such Letter of Credit and shall use such proceeds first, to reimburse itself for any Drawings made in respect of such Letter of Credit following the L/C Maturity Date, second, to the extent such Letter of Credit expires or is returned undrawn while give any such cash collateral remainsnotice shall in no way affect, to the repayment of obligations in respect of any Loans that have not paid at such time and third, to the Borrower impair or as otherwise directed by a court of competent jurisdiction. Nothing in this Section 3.4(a) shall affect diminish the Borrower’s obligation to repay all outstanding Loans when due in accordance with the terms of this Agreement's obligations hereunder.
(b) The obligations of the Borrower under this Section 3.4 2.05 to reimburse the relevant each Issuing Bank with respect to Unpaid Drawings (including, in each case, interest thereon) shall be absolute, absolute and unconditional and irrevocable under any and all circumstances and irrespective of any set-offsetoff, counterclaim or defense to payment that which the Borrower or any other Person may have or have had against such Issuing Bank, the Administrative Agent or any Lender Bank (including in its capacity as an L/C issuer of the Letter of Credit or as Participant), including including, without limitation, any defense based upon (i) the failure of any drawing or payment under a Letter of Credit (each a “"Drawing”") to conform to the terms of the Letter of Credit, (ii) Credit or any non-application nonapplication or misapplication by the beneficiary of the proceeds of such Drawing; provided, (iii) however, that the Borrower shall not be obligated to reimburse the respective Issuing Bank for any lack of validity or enforceability of any Letter of Credit or this Agreement, or any term or provision therein, (iv) any draft or other document presented wrongful payment made by such Issuing Bank under a Letter of Credit proving to be forged, fraudulent issued by it as a result of acts or invalid in any respect omissions constituting willful misconduct or any statement therein being untrue or inaccurate in any respect or (v) any other event or circumstance whatsoever, whether or not similar to any gross negligence on the part of the foregoing, that might, but for the provisions of this Section 3.4, constitute a legal or equitable discharge of, or provide a right of setoff against, the Borrower’s obligations hereunder; provided that the foregoing shall not be construed to excuse the relevant such Issuing Bank from liability to the Borrower to the extent of any direct damages (as opposed to special, indirect, consequential or punitive damages, claims in respect of which are hereby waived by the Borrower to the extent permitted by applicable law) suffered by the Borrower that are caused by such Issuing Bank’s failure to exercise care pursuant to the applicable ICC Rule or applicable law when determining whether drafts and other documents presented under a Letter of Credit comply with the terms thereof. Agreement to Repay Letter of Credit Drawings. The Company shall reimburse First Bank by 9:30 a.m. (New York City Minneapolis time) on the Reimbursement Date that the Borrower intends to reimburse such Issuing Bank for the amount of day on which such drawing with funds other than the proceeds of Loans, the Borrower shall is to be deemed to have given a Notice of Borrowing requesting that the Lenders make Loans (which shall be ABR Loans) on the Reimbursement Date paid in Immediately Available Funds in an amount equal to the amount at of such drawing, and (ii) . To the Administrative Agent shall promptly notify each L/C Participant of such drawing and the amount of its Loan to be made in respect thereof, and each L/C Participant shall be irrevocably obligated to make a Loan to the Borrower extent funds are available in the manner deemed to have been requested Holding Account, First Bank may, in the amount of its Commitment Percentage of the applicable Unpaid Drawing by 12:00 noon (New York City time) on such Reimbursement Date by making discretion, withdraw the amount of such Loan available drawing from the Holding Account and apply such amount to the Administrative Agent. Such Loans made Company's reimbursement obligations in respect of such Unpaid Drawing on such Reimbursement Date shall be made without regard to drawing. To the Minimum Borrowing Amount and without regard to extent the satisfaction amount of funds available in the conditions set forth in Section 7. The Administrative Agent shall use Holding Account equals or exceeds the proceeds of such Loans solely for purpose of reimbursing the relevant Issuing Bank for the related Unpaid Drawing. In the event that the Borrower fails to Cash Collateralize any Letter of Credit that Obligations as of the date of such drawing, First Bank shall withdraw the amount of such drawing from the Holding Account and apply such amount to the Company's reimbursement obligations in respect of such drawing. If First Bank is outstanding not reimbursed for the amount of such drawing as provided in the three preceding sentences, First Bank shall notify the Agent thereof by 11:00 A.M. (Minneapolis time) on the L/C Maturity Date, date such draw is to be paid. Any amount by which the Company has failed to reimburse First Bank for the full amount of such drawing by 10:00 a.m. on the Letters of Credit Outstanding in respect of such Letter of Credit shall be deemed to be an Unpaid Drawing subject to the provisions of this Section 3.4 except that such Issuing date on which First Bank shall hold the proceeds received from the Lenders as contemplated above as cash collateral for such Letter of Credit to reimburse any Drawing under such Letter of Credit and shall use such proceeds first, to reimburse itself for any Drawings made in respect of such Letter of Credit following the L/C Maturity Date, second, to the extent such Letter of Credit expires or is returned undrawn while any such cash collateral remains, to the repayment of obligations in respect of any Loans that have not paid at such time and third, to the Borrower or as otherwise directed by a court of competent jurisdiction. Nothing in this Section 3.4(a) shall affect the Borrower’s obligation to repay all outstanding Loans when due in accordance with the terms of this Agreement.
(b) The obligations of the Borrower under this Section 3.4 to reimburse the relevant Issuing Bank with respect to Unpaid Drawings (including, in each case, interest thereon) shall be absolute, unconditional and irrevocable under any and all circumstances and irrespective of any set-off, counterclaim or defense to payment that the Borrower or any other Person may have or have had against such Issuing Bank, the Administrative Agent or any Lender (including in its capacity as an L/C Participant)notice indicated that it would pay such drawing, including any defense based upon (i) the failure of any drawing under a Letter of Credit (each a “Drawing”) to conform to the terms of the Letter of Credit, (ii) any non-application or misapplication by the beneficiary of until reimbursed from the proceeds of such Drawing, (iii) any lack of validity or enforceability of any Letter of Credit or this Agreement, or any term or provision therein, (iv) any draft or other document presented under a Letter of Credit proving to be forged, fraudulent or invalid in any respect or any statement therein being untrue or inaccurate in any respect or (v) any other event or circumstance whatsoever, whether or not similar to any of the foregoing, that might, but for the provisions of this Section 3.4, constitute a legal or equitable discharge of, or provide a right of setoff against, the Borrower’s obligations hereunder; provided that the foregoing shall not be construed to excuse the relevant Issuing Bank from liability to the Borrower to the extent of any direct damages (as opposed to special, indirect, consequential or punitive damages, claims in respect of which are hereby waived by the Borrower to the extent permitted by applicable law) suffered by the Borrower that are caused by such Issuing Bank’s failure to exercise care Working Capital Loans pursuant to the applicable ICC Rule Section 2.09(f) or applicable law when determining whether drafts and other documents presented under a Letter out of Credit comply with the terms thereof. The Borrower agrees that any action taken or omitted to be taken by an Issuing Bank under or in connection with any Letter of Credit or the related drafts or documents, if done funds available in the absence of gross negligence or willful misconduct (as finally determined by a court of competent jurisdiction)Holding Account, shall be binding on the Borrower and shall not result in any liability of such Issuing Bank to the Borrower; provided that the foregoing shall not be construed to excuse such Issuing Bank from liability to the Borrower to the extent of any direct damages suffered by the Borrower that are caused by such Issuing Bank’s failure to exercise care, when determining whether drafts and other documents presented under a Letter of Credit comply with the terms thereof as determined by a final and non-appealable judgment of a court of competent jurisdiction. In furtherance of the foregoing, the parties hereto agree that, with respect to documents presented which appear on their face to be in compliance with the terms of a Letter of Credit, the Issuing Bank that issued such Letter of Credit may in its sole discretion either accept or make payment upon such documents without responsibility for further investigation, regardless of any notice or information to the contrary, or refuse to accept and make payment upon such documents if such documents are not in strict compliance with the terms of such Letter of Credit (unless the Borrower shall consent to payment thereon not withstanding such lack of strict compliance)is an "Unpaid Drawing."

Agreement to Repay Letter of Credit Drawings. (a) The Borrower hereby agrees to reimburse the relevant respective Issuing Bank Bank, by making payment in Dollars or U.S. dollars and in immediately available funds directly to the Administrative Agent at its address specified pursuant to Article XIII for the account benefit of such Issuing Bank (whether with its own funds or with proceeds of the Loans) in immediately available fundsBank, for any payment or disbursement made by such Issuing Bank under any Letter of Credit issued by it (with each such amount so paid paid, until reimbursed, an “"Unpaid Drawing”) (i) within one "), not later than the Business Day of after the date of such payment Administrative Agent or disbursement if such Issuing Bank provides notice to the notifies Borrower of such payment or disbursement prior to 11:00 a.m. (New York City time) on such next succeeding Business Day (from the date of such payment or disbursement) or (ii) if such notice is received after such time, on the next Business Day following the date of receipt of such notice (such required date for reimbursement under clause (i) or (ii), as applicable, on such Business Day (the “Reimbursement Date”)), with interest on the amount so paid or disbursed by such Issuing Bank, from and including to the extent not reimbursed prior to 2:00 P.M. (New York time), on the date of such payment or disbursement disbursement, from and including the date paid or disbursed to but excluding the Reimbursement Datedate such Issuing Bank is reimbursed by Borrower therefor at a rate per annum which shall be the Floating Rate in effect from time to time, provided, however, to the extent such amounts are not reimbursed prior to 12:00 Noon (New York time) on the third Business Day following the receipt of notice by Borrower from the Administrative Agent or the respective Issuing Bank of such payment or disbursement or upon the occurrence of a Default under Sections 7.6 or 7.7, interest shall thereafter accrue on the amounts so paid or disbursed by such Issuing Bank (and until reimbursed by Borrower) at a rate per annum which shall be the Floating Rate as in effect from time to time plus 300 basis points, in each such case, with interest to be payable on demand, provided further, that it is understood and agreed that the notice referred to above in this clause (a) shall not be required to be given if a Default under Sections 7.6 or 7.7 shall have occurred and be continuing (in which case the Unpaid Drawings shall be due and payable immediately without presentment, demand, protest or notice of any kind (all of which are hereby waived by Borrower) and shall bear interest at the per annum rate for provided in the foregoing proviso). The respective Issuing Bank shall give Borrower and the Administrative Agent (if not the Issuing Bank under the respective Letter of Credit) prompt written notice of each day equal to the rate described in Section 2.8(a); provided that, notwithstanding anything contained in this Agreement to the contrary, with respect to Drawing under any Letter of Credit, (i) unless the Borrower shall have notified the Administrative Agent and such Issuing Bank prior to 11:00 a.m. (New York City time) on the Reimbursement Date provided that the Borrower intends failure to reimburse such Issuing Bank for the amount of such drawing with funds other than the proceeds of Loans, the Borrower shall be deemed to have given a Notice of Borrowing requesting that the Lenders make Loans (which shall be ABR Loans) on the Reimbursement Date in an amount equal to the amount at such drawing, and (ii) the Administrative Agent shall promptly notify each L/C Participant of such drawing and the amount of its Loan to be made in respect thereof, and each L/C Participant shall be irrevocably obligated to make a Loan to the Borrower in the manner deemed to have been requested in the amount of its Commitment Percentage of the applicable Unpaid Drawing by 12:00 noon (New York City time) on such Reimbursement Date by making the amount of such Loan available to the Administrative Agent. Such Loans made in respect of such Unpaid Drawing on such Reimbursement Date shall be made without regard to the Minimum Borrowing Amount and without regard to the satisfaction of the conditions set forth in Section 7. The Administrative Agent shall use the proceeds of such Loans solely for purpose of reimbursing the relevant Issuing Bank for the related Unpaid Drawing. In the event that the Borrower fails to Cash Collateralize any Letter of Credit that is outstanding on the L/C Maturity Date, the full amount of the Letters of Credit Outstanding in respect of such Letter of Credit shall be deemed to be an Unpaid Drawing subject to the provisions of this Section 3.4 except that such Issuing Bank shall hold the proceeds received from the Lenders as contemplated above as cash collateral for such Letter of Credit to reimburse any Drawing under such Letter of Credit and shall use such proceeds first, to reimburse itself for any Drawings made in respect of such Letter of Credit following the L/C Maturity Date, second, to the extent such Letter of Credit expires or is returned undrawn while give any such cash collateral remainsnotice shall in no way affect, to the repayment of obligations in respect of any Loans that have not paid at such time and third, to the Borrower impair or as otherwise directed by a court of competent jurisdiction. Nothing in this Section 3.4(a) shall affect diminish the Borrower’s obligation to repay all outstanding Loans when due in accordance with the terms of this Agreement's obligations hereunder.
(b) The obligations of the Borrower under this Section 3.4 2.20.4 to reimburse the relevant respective Issuing Bank with respect to Unpaid Drawings (including, in each case, interest thereon) shall be absolute, absolute and unconditional and irrevocable under any and all circumstances and irrespective of any set-offsetoff, counterclaim or defense to payment that the which Borrower or any other Person may have or have had against such Issuing Bank, the Administrative Agent or any Lender (including in its capacity as issuer of the Letter of Credit or as an L/C Participant), including including, without limitation, any defense based upon (i) the failure of any drawing under a Letter of Credit (each each, a “"Drawing”") to conform to the terms of the Letter of Credit, (ii) Credit or any non-application nonapplication or misapplication by the beneficiary of the proceeds of such Drawing, (iii) any lack of validity or enforceability of any Letter of Credit or this Agreement, or any term or provision therein, (iv) any draft or other document presented under a Letter of Credit proving to be forged, fraudulent or invalid in any respect or any statement therein being untrue or inaccurate in any respect or (v) any other event or circumstance whatsoever, whether or not similar to any of the foregoing, that might, but for the provisions of this Section 3.4, constitute a legal or equitable discharge of, or provide a right of setoff against, the Borrower’s obligations hereunder; provided that the foregoing shall not be construed to excuse the relevant respective Issuing Bank from liability to the Borrower to the extent of shall be responsible for any direct damages (as opposed excluding consequential damages) to special, indirect, consequential or punitive damages, claims in respect of which are hereby waived by the Borrower to the extent permitted by applicable law) suffered by the Borrower that are caused by such Issuing Bank’s failure to exercise care pursuant to the applicable ICC Rule or applicable law when determining whether drafts and other documents presented under a Letter of Credit comply with the terms thereof. Agreement to Repay Letter of Credit Drawings. (New York time) on the date of such Issuing Bankpayment or disbursement, from and including the date of such payment paid or disbursement disbursed to but excluding the Reimbursement Datedate the Letter of Credit Issuer is reimbursed therefor, at the a rate per annum rate for each day equal that shall at all times be the Applicable ABR Margin plus the ABR as in effect from time to the rate described in Section 2.8(a); time, provided that, notwithstanding anything contained in this Agreement to the contrary, with respect to any Letter of Credit, (i) unless the Borrower shall have notified the Administrative Agent and such Issuing Bank the Letter of Credit Issuer prior to 11:00 a.m. (New York City time) 10:00 A.M. on the Reimbursement Date date of such drawing (to the extent the Borrower shall have received notice of such drawing prior to such time on such date) or on the Business Day immediately following the date of such drawing (to the extent the Borrower shall not have received notice of such drawing prior to 10:00 A.M. on the date of such drawing) that the Borrower intends to reimburse such Issuing Bank the Letter of Credit Issuer for the amount of such drawing with funds other than the proceeds of Loans, the Borrower shall be deemed to have given a Notice of Borrowing to the Administrative Agent requesting that the Lenders make Revolving Credit Loans (which shall initially be ABR Loans) on the Reimbursement Date date on which such drawing is honored (or the Business Day immediately following the date such drawing is honored to the extent the Borrower shall not have received notice of such drawing prior to 10:00 A.M. on such date) in an amount equal to the amount at of such drawing, drawing and (ii) the Administrative Agent shall promptly notify each L/C Participant Lender of such drawing and the amount of its Revolving Credit Loan to be made in respect thereof, and each L/C Participant Lender shall be irrevocably obligated to make a Revolving Credit Loan that is an ABR Loan to the Borrower in the manner deemed to have been requested in the amount of its Revolving Credit Commitment Percentage of the applicable Unpaid Drawing by 12:00 noon (New York City time) on such Reimbursement Date Business Day by making the amount of such Revolving Credit Loan available to the Administrative Agent at the Administrative Agent's Office. Such Revolving Credit Loans made in respect of such Unpaid Drawing on such Reimbursement Date shall be made without regard to the Minimum Borrowing Amount and without regard to the satisfaction of the conditions set forth in Section 7Amount. The Administrative Agent shall use the proceeds of such Revolving Credit Loans solely for purpose of reimbursing the relevant Issuing Bank Letter of Credit Issuer for the related Unpaid Drawing. In the event that the Borrower fails to Cash Collateralize any Letter of Credit that is outstanding on the L/C Maturity Date, the full amount of the Letters of Credit Outstanding in respect of such Letter of Credit shall be deemed to be an Unpaid Drawing subject to the provisions of this Section 3.4 except that such Issuing Bank shall hold the proceeds received from the Lenders as contemplated above as cash collateral for such Letter of Credit to reimburse any Drawing under such Letter of Credit and shall use such proceeds first, to reimburse itself for any Drawings made in respect of such Letter of Credit following the L/C Maturity Date, second, to the extent such Letter of Credit expires or is returned undrawn while any such cash collateral remains, to the repayment of obligations in respect of any Loans that have not paid at such time and third, to the Borrower or as otherwise directed by a court of competent jurisdiction. Nothing in this Section 3.4(a) shall affect the Borrower’s obligation to repay all outstanding Loans when due in accordance with the terms of this Agreement.
(b) The Borrower's obligations of the Borrower under this Section 3.4 to reimburse the relevant Issuing Bank Letter of Credit Issuer with respect to Unpaid Drawings (including, in each case, interest thereon) shall be absolute, absolute and unconditional and irrevocable under any and all circumstances and irrespective of any set-offsetoff, counterclaim or defense to payment that the Borrower or any other Person may have or have had against such Issuing Bankthe Letter of Credit Issuer, the Administrative Agent or any Lender (including in its capacity as an L/C Participant), including any defense based upon (i) the failure of any drawing under a Letter of Credit (each a “"Drawing”") to conform to the terms of the Letter of Credit, (ii) Credit or any non-application or misapplication by the beneficiary of the proceeds of such Drawing, (iii) any lack of validity or enforceability of any provided that the Borrower shall not be obligated to reimburse the Letter of Credit or this Agreement, or Issuer for any term or provision therein, (iv) any draft or other document presented under a wrongful payment made by the Letter of Credit proving to be forged, fraudulent or invalid in any respect or any statement therein being untrue or inaccurate in any respect or (v) any other event or circumstance whatsoever, whether or not similar to any of Issuer under the foregoing, that might, but for the provisions of this Section 3.4, constitute a legal or equitable discharge of, or provide a right of setoff against, the Borrower’s obligations hereunder; provided that the foregoing shall not be construed to excuse the relevant Issuing Bank from liability to the Borrower to the extent of any direct damages (as opposed to special, indirect, consequential or punitive damages, claims in respect of which are hereby waived by the Borrower to the extent permitted by applicable law) suffered by the Borrower that are caused by such Issuing Bank’s failure to exercise care pursuant to the applicable ICC Rule or applicable law when determining whether drafts and other documents presented under a Letter of Credit comply with issued by it as a result of acts or omissions constituting willful misconduct or gross negligence on the terms thereof. The Borrower agrees that any action taken or omitted to be taken by an Issuing Bank under or in connection with any part of the Letter of Credit or the related drafts or documents, if done in the absence of gross negligence or willful misconduct (as finally determined by a court of competent jurisdiction), shall be binding on the Borrower and shall not result in any liability of such Issuing Bank to the Borrower; provided that the foregoing shall not be construed to excuse such Issuing Bank from liability to the Borrower to the extent of any direct damages suffered by the Borrower that are caused by such Issuing Bank’s failure to exercise care, when determining whether drafts and other documents presented under a Letter of Credit comply with the terms thereof as determined by a final and non-appealable judgment of a court of competent jurisdiction.
