Agreement to Support; Further Assurances. Shareholder agrees to use its commercially reasonable efforts to take, or cause to be taken, all actions, and to do, or cause to be done, all things, reasonably necessary under applicable laws to consummate the Merger and the other transactions or actions contemplated under the Merger Agreement on the terms and subject to the conditions set forth therein Without limiting the generality of the foregoing, Shareholder shall, from time to time, execute and deliver, or cause to be executed and delivered, such additional or further agreements, consents, documents and other instruments as M-CO may reasonably request for the purpose of consummating or making effective the Merger subject to, and in accordance with, the terms and conditions of the Merger Agreement or of consummating or making effective any of the other transactions or actions contemplated under the Merger Agreement or this Agreement.
