Agreement to Survive Closing Clause Samples

The "Agreement to Survive Closing" clause specifies that certain obligations, representations, or warranties made in a contract will remain in effect even after the transaction has been completed and the closing has occurred. In practice, this means that if issues arise post-closing—such as breaches of representations or undisclosed liabilities—the parties can still seek remedies based on the surviving provisions. This clause is essential for protecting parties from post-closing risks and ensuring that important promises or protections do not automatically expire once the deal is finalized.
