The Company shall (a) subject to the satisfaction of the conditions set forth in Section 7.1, execute and deliver the Equity Documents and such other documents, certificates, agreements and other writings, and (b) take such other actions, in each case, as may be reasonably necessary, desirable or requested by the Purchasers in order to consummate or implement the Issuance in accordance with the terms of this Agreement.
