Agreement Unenforceable. This Agreement shall at any time after its execution and delivery and for any reason cease to be in full force and effect or shall be declared null and void, or the validity or enforceability thereof shall be contested by Borrower, or Borrower shall deny it has any further liability or obligation under this Agreement.

This Agreement is declared in a final, non-appealable judgment of a court of competent jurisdiction to be unenforceable against the Shareholder or the Shareholder shall have repudiated its obligations hereunder. For this purpose a statement or a dispute regarding the scope or nature of the parties' rights and obligations under this Agreement or a failure to perform any particular obligation as a result of such statement or dispute shall not by itself be deemed to be a repudiation thereof other than a failure that would otherwise constitute a Completion Default.

Agreement Unenforceable. Executive recognizes that, if Executive brings or joins any such lawsuit, or files any such charge or claim, the Company will have a claim for breach of this Agreement and may be entitled to injunctive relief, attorneys’ fees and other legal and equitable relief. Notwithstanding the foregoing, none of the provisions of this Agreement, or of the Employment Agreement that survive or are continued by this Agreement, are waived or released.
