Agreement warranties. Each of PGx and SPT hereby represents and warrants that (i) it has the requisite corporate power and authority to execute and deliver this CSA and to perform all of its obligations hereunder; (ii) the execution and delivery of this CSA and the performance by such Party of its obligations hereunder has been authorized by all requisite corporate action on its part; (iii) this CSA has been validly executed and delivered by such Party; and (iv) constitutes a valid and binding obligation of such Party, enforceable against such Party in accordance with its terms.
Agreement warranties. You warrant that: • no one has induced you to enter into this agreement by any prior representations, warranties, or guarantees; and • you are not breaching of any other agreement by entering into this agreement.
