Agreement Will Not Cause Breach or Violation. The consummation of the transactions contemplated by this Agreement (including the issuance and sale of the Shares) will not result in any violation of or constitute a default or any event that, with notice or lapse of time, or both, would conflict with or constitute a breach or default of the Bylaws of the Buyer or of any Material Contract or any material provision of local, state, federal or foreign law, rule or regulation and will not result in the creation or imposition of any lien or encumbrance on any of the Buyer's property or on the Shares.

The consummation of the transactions contemplated by this Agreement (including the issuance and sale of the Shares) will not result in any violation of or constitute a default or any an event that, with notice or lapse of time, time or both, would conflict with be a default, breach, or constitute a breach or default violation of the Bylaws certificate of the incorporation or bylaws of Buyer or any lease, license, promissory note, conditional sales contract, permit, license, commitment, indenture, mortgage, deed of any Material Contract trust, or any material provision of localother agreement, stateinstrument, federal or foreign law, rule or regulation and will not result in the creation or imposition of any lien or encumbrance on any of the Buyer's property or on the Sharesarrangement to which Buyer is party.

The Except as disclosed on SCHEDULE 7.20, neither the entry into this Agreement nor the consummation of the transactions contemplated by this Agreement (including the issuance and sale hereby will result in or constitute any of the Sharesfollowing: (i) will not result in any violation of or constitute a default or any event that, with notice or lapse of time, or both, would conflict with or constitute a breach or default of the Bylaws of the Buyer or of any Material Contract or any material provision of local, state, federal or foreign law, rule or regulation and will not result in the creation or imposition of any lien lien, charge or encumbrance on any of the Buyer's property Assets; or on (ii) the Sharesviolation of any law, regulation, ordinance, judgment, order or decree applicable to or affecting Seller, the Business or the Assets.
