Agreements and Covenants; Buyer Closing Deliverables. Buyer shall have performed or complied in all material respects with all agreements and covenants required by this Agreement to be performed or complied with by them at or prior to the Closing Date. Buyer shall have delivered or caused to be delivered to Seller all of the items specified in Schedule 2.4. All material written consents, assignments, waivers or authorizations that are required as a result of the transactions contemplated by this Agreement shall have been obtained.

Buyer shall have performed or complied in all material respects with all agreements and covenants required by or in this Agreement or the other Transaction Documents, the Schedules and Exhibits hereto, the certificates delivered hereunder, any transfer instrument, or any other certificate, document, writing or instrument delivered by Borrower pursuant to or otherwise in connection with the Transaction Documents to be performed or complied with by it at or prior to the Closing Date. Buyer shall have delivered or caused to be delivered to Borrower all the items specified in Schedule 2.4. All material written consents, assignments, waivers, or authorizations that are required to effect the Contemplated Transactions shall have been obtained.
