Common use of Agreements and Representations Clause in Contracts

Agreements and Representations. (a) Pending the issuance of the EDC Bonds and the designation of the Project Site as an economic revitalization area as described herein, the Developer agrees to proceed with due diligence to complete the acquisition of the Project Site. The Developer represents that its execution of this MOU has been duly authorized by valid corporate action of the Developer’s governing body. (b) The Town agrees to cooperate with the Developer in causing applicable public and private entities to provide required utility service (electric, gas, water, sewer and data) to the Project at their respective legally approved rates. (c) The Town and Commission represent that execution of the MOU has been duly authorized by all required corporate action of the respective governing bodies.
