Common use of Agreements by Warrant Holder Clause in Contracts

Agreements by Warrant Holder. In connection with the filing of a Registration Statement pursuant to Section 3(c) above, if you participate in the offering by including the Underlying Securities owned by you, you agree: (i) To furnish the Company all material information requested by the Company concerning yourself and your holdings of securities of the Company and the proposed method of sale or other disposition of the Underlying Securities and such other information and undertakings as shall be reasonably required in connection with the preparation and filing of any such Registration Statement covering all or a part of the Underlying Securities and in order to ensure full compliance with the Act; and (ii) To cooperate in good faith with the Company and its underwriters, if any, in connection with such registration, including placing the Underlying Securities to be included in such Registration Statement in escrow or custody to facilitate the sale and distribution thereof.
