Common use of Agreements, Conditions and Covenants Clause in Contracts

Agreements, Conditions and Covenants. The Buyer Parties shall have performed or complied with all agreements, conditions and covenants required by this Agreement to be performed or complied with by them on or before the Closing Date; provided, however, that for purposes of this SECTION 8.1(b) only, the Buyer Parties shall have deemed to have complied with such agreements, conditions and covenants unless the failure or failures to do so, individually or in the aggregate, result or would reasonably be expected to result in a material reduction in the benefits to be received by the Seller hereunder.
