Purchaser covenants and ------------------------------------------- agrees that, pending the Closing and except as otherwise agreed to in writing by Seller, Purchaser shall not knowingly take any action which would result in a breach of any of its representations and warranties hereunder. Furthermore, Purchaser shall (a) cooperate with Seller and use its best efforts to cause all of the conditions to the obligations of Seller under this Agreement to be satisfied on or prior to the Closing Date, and (b) promptly after the date hereof, submit its application for the temporary liquor license and tobacco permit described in Section 5.1.7 (with all supporting documentation) and shall thereafter use its best efforts to cause the conditions set forth in such Section to be satisfied on or prior to the Closing Date.
