Agreements or Arrangements with Employees, Officers and Directors. Except as set forth in the financial statements described in Section 3.4 hereof and for those agreements set forth on Schedule 3.10, and except for obligations existing as a matter of law, there exists no employment, consulting, severance, termination or indemnification agreements, arrangements or understandings between ALPHANET and any current or former employee or officer of ALPHANET who earns (or earned prior to termination) annual cash compensation in excess of $100,000 or any current or former director of ALPHANET. No Benefit Plan provides benefits to any person who is not a current employee, officer or director of ALPHANET.
