The Borrower is not a party to or otherwise bound by any contract or agreement or subject to any restrictions which would have Material Adverse Effect or restricts the Borrower's ability to enter into this Agreement or any of the other of the Loan Documents or the Borrower's ability to effect the transactions contemplated therein and herein.
