Common use of Agreements with Affiliates Clause in Contracts

Agreements with Affiliates. The Borrower and the Parent shall not, and shall not permit any other Guarantor or any other Subsidiary of the Parent to, enter into any transaction requiring such Person to pay any amounts to or otherwise transfer property to, or pay any management or other fees to, any Affiliate other than on terms and conditions substantially as favorable to the Parent, the Borrower, such other Guarantor or such other Subsidiary as would be obtainable at the time in a comparable arm's-length transaction with a Person not an Affiliate.

The Borrower and the Parent shall not, and shall not permit any other Guarantor or any other Subsidiary of the Parent to, and RRG shall not, and shall not permit and of its respective Subsidiaries to, enter into any transaction requiring such Person to pay any amounts to or otherwise transfer property to, or pay any management or other fees to, any Affiliate other than on terms and conditions substantially as favorable to the Parent, the Borrower, such other Guarantor or such other Subsidiary Person as would be obtainable at the time in a comparable arm's-length transaction with a Person not an Affiliate.
