Common use of Agreements with Affiliates Clause in Contracts

Agreements with Affiliates. Except for agreements or arrangements with Affiliates wherein the Borrower or one or more of its Restricted Subsidiaries provides services to such Affiliates for fair consideration or which are set forth on Schedule 4.l(s) attached hereto, neither the Borrower nor any of its Restricted Subsidiaries has (i) any written agreements or binding arrangements of any kind with any Affiliate or (ii) any management or consulting agreements of any kind with any Affiliate, other than those between the Borrower and its Restricted Subsidiaries.

Agreements with Affiliates. Except for agreements or arrangements with Affiliates wherein the Borrower or one or more of its Restricted Subsidiaries provides services to such Affiliates for fair consideration or which are set forth on Schedule 4.l(s) 8.12 attached heretohereto or which are otherwise in compliance with Section 8.12, neither the Borrower nor any of its Restricted Subsidiaries has (i) any written agreements or binding arrangements of any kind with any Affiliate or (ii) any management or consulting agreements of any kind with any Affiliate, other than those between the Borrower and its Restricted SubsidiariesSubsidiaries or referred to in this Section 5.28.

Agreements with Affiliates. Except for agreements or arrangements with Affiliates wherein the Borrower or one or more of its Restricted Subsidiaries provides services to such Affiliates for fair consideration or and which are set forth on in Item 6.19 of the Disclosure Schedule 4.l(s) attached hereto("Agreements with Affiliates"), neither the Borrower Borrower, any other Obligor nor any of its Restricted their Subsidiaries has (ia) any written agreements or binding arrangements of any kind with any Affiliate or (iib) any management or consulting agreements of any kind with any Affiliate, other than those between the Borrower and its Restricted Subsidiaries.

Except for agreements or arrangements with Affiliates wherein the Borrower Holdings or one or more of its Restricted Subsidiaries provides services to such Affiliates for fair consideration or which are set forth on Schedule 4.l(s) attached hereto8.12 hereto or which are otherwise in compliance with subsection 8.12, neither the Borrower Holdings nor any of its Restricted Subsidiaries has (i) any written agreements or binding arrangements of any kind with any Affiliate or (ii) any management or consulting agreements of any kind with any Affiliate, other than those between the Borrower Holdings and its Restricted SubsidiariesSubsidiaries or referred to in this subsection 5.28.
