Agreements with Members and Others. The Managers shall not enter into (on behalf of the Company) any agreements with Members or any person related to any of the Managers unless such agreements are on terms and conditions which the Managers might reasonably conclude are not less favorable to the Company than the terms and conditions likely to result from “arms-length” negotiations with unaffiliated third parties. For the purposes of this subsection, the term “unaffiliated third parties” shall mean third parties in which the applicable Manager(s) has no material direct or indirect financial interest.
