Agreements with Representatives Clause Samples
The "Agreements with Representatives" clause defines the obligations and limitations regarding any agreements made with individuals or entities acting on behalf of a party, such as agents, brokers, or consultants. Agreements with Representatives. Each Party shall ensure that each Representative involved in any way with the development of the Combined System Implementations, including such Party’s Alliance Manager and appointed members of the Joint Steering Committee and the Development Working Group, shall have entered into written agreements (or are otherwise subject to legally enforceable obligations) (i) whereby all ownership rights in any Intellectual Property made or developed by them under the Development Plan will be duly vested in such Party (or its Affiliate); and (ii) containing obligations of nonuse and nondisclosure of Confidential Information consistent with the terms of this Agreement.
Agreements with Representatives. The ARC shall have valid and enforceable written agreements with all Representatives providing Services containing a nondisclosure obligation and assignment of inventions obligation comparable in scope and duration to Article 10 and giving the ARC all rights and authority necessary to effectuate the provisions of this Article 9. The ARC shall provide copies of these agreements to MacroCure upon MacroCure’s request.
Agreements with Representatives. (a) Employment Agreement of Hend▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇ Stri▇▇▇▇▇. From and after the Management Closing Time, the employment agreements between Hardy and each of Hend▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇ Stri▇▇▇▇▇, ▇▇all be in substantially the appropriate form included in EXHIBIT 7 to this Agreement. Each of Hend▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇ Stri▇▇▇▇▇ ▇▇▇ll, and the parties to this Agreement shall cause Hardy to, enter into an amended and restated employment agreement in such form, to be effective at the Management Closing Time.
