Common use of Alarm Licenses Clause in Contracts

Alarm Licenses. Agent shall have received (i) certified copies of the Alarm Licenses which are necessary for the operation of Borrowers' Security Monitoring Business and (ii) evidence that (A) such Alarm Licenses are in full force and effect as of the Closing Date and (B) no event has occurred which could result in the termination, revocation or non-renewal of any such Alarm License.

Alarm Licenses. Agent shall have received (i) certified copies of the Alarm Licenses which are necessary for to own or operate the operation Property which is the subject of Borrowers' Security Monitoring Business such Acquisition and (ii) evidence that (A) any transfer or assignment of such Alarm Licenses to the applicable Borrower is final, (B) such Alarm LICENSES are in full force and effect as of the Acquisition Closing Date and (BC) no event has occurred which could reasonably be expected to result in the termination, revocation or non-renewal of any such Alarm License.

Agent shall have received (i) certified copies of the Alarm Licenses which are necessary for to own or operate the operation Property which is the subject of Borrowers' Security Monitoring Business such Acquisition and (ii) evidence that (A) the transfer or assignment of such Alarm Licenses to the applicable Borrower is final, (B) such Alarm Licenses are in full force and effect as of the Acquisition Closing Date and (BC) no event has occurred which could reasonably be expected to result in the termination, revocation or non-renewal of any such Alarm License.

Alarm Licenses. Agent shall have received (i) certified copies of the Alarm Licenses which are necessary for the operation of BorrowersBorrower's and each of its Subsidiaries' Security Monitoring Business Central Station Business, certified by Borrower as correct and complete and (ii) evidence that (A) such Alarm Licenses are in full force and effect as of the Closing applicable Funding Date and (B) no event has occurred which could result in the termination, revocation or non-renewal of any such Alarm License.
