Common use of ALL ASSETS BEING ACQUIRED Clause in Contracts

ALL ASSETS BEING ACQUIRED. The Assets being acquired by Buyer hereunder constitute all of the assets of Seller used and necessary to conduct and operate the Business as presently conducted and operated (other than certain assets set forth on Schedule 3.2, which are the Excluded Assets).
