Common use of All Consents and Approvals Obtained Clause in Contracts

All Consents and Approvals Obtained. Except with respect to Regulatory Approvals for the Development, Manufacturing or Commercialization of the Product or as otherwise described in this Agreement, (i) all necessary consents, approvals and authorizations of, and (ii) all notices to, and filings by such Party with, all Governmental Authorities and other Persons required to be obtained or provided by such Party as of the Effective Date in connection with the execution, delivery and performance of this Agreement have been obtained and provided, except for those approvals, if any, not required at the time of execution of this Agreement.

All Consents and Approvals Obtained. Except with respect to Regulatory Approvals for the Development, Manufacturing or Commercialization of the Product or as otherwise described in this Agreement, (ia) all necessary consents, approvals and authorizations of, and (iib) all notices to, and filings by such Party with, all Governmental Authorities and other Persons required to be obtained or provided by such Party as of the Effective Date in connection with the execution, delivery and performance of this Agreement have been obtained and provided, except for those approvals, if any, not required at the time of execution of this Agreement.

Except with respect to Regulatory Approvals for the Development, Development and Manufacturing of Bulk Product or Commercialization of the Finished Product or as otherwise described in this Agreement, (i) all necessary consents, approvals and authorizations of, and (ii) all notices to, and filings by such Party with, all Governmental Authorities and other Persons required to be obtained or provided by such Party as of the Effective Date in connection with the execution, delivery and performance of this Agreement have been obtained and provided, except for those approvals, if any, not required at the time of execution of this Agreement.

Except with respect to Regulatory Approvals for the Development, Manufacturing Exploitation of any Licensed Compound or Commercialization of the Licensed Product or as otherwise described in this Agreement, (ia) all necessary consents, approvals approvals, and authorizations of, and (iib) all notices to, and filings by such Party with, all Governmental Authorities and other Persons required to be obtained or provided by such Party as of the Effective Date in connection with the execution, delivery delivery, and performance of this Agreement have been obtained and provided, except for those approvals, if any, not required at the time of execution of this Agreement.

Except with respect to Regulatory Approvals for the Development, Manufacturing Development, Manufacturing or Commercialization of the Product or as otherwise described in this Agreement, (i) all necessary consents, approvals and authorizations of, and (ii) all notices to, and filings by such Party with, all Governmental Authorities and other Persons required to be obtained or provided by such Party as of the 2010 Effective Date and 2013 Effective Date in connection with the execution, delivery and performance of this Agreement have been obtained and provided, except for those approvals, if any, not required at the time of execution of this Agreement.

Except with respect to Regulatory Approvals for the Development, Manufacturing or Commercialization of the Product Passage Bio Products or as otherwise described expressly noted in this Agreement, (i) all necessary consents, approvals and authorizations of, and (ii) all notices to, and filings by such Party with, all Governmental Authorities and other Persons required to be obtained or provided by such Party as of the Effective Date in connection with the execution, delivery and performance of this Agreement have been ​ obtained and provided, except for those approvals, if any, not required at the time of execution of this Agreement.

Except with respect to Regulatory Approvals for the Development, Manufacturing or Commercialization of the Product Licensed Products or as otherwise described in this Agreement, (ia) all necessary consents, approvals and authorizations of, and (iib) all notices to, and filings by such Party with, in either case ((a) or (b)), all Governmental Authorities and other Persons required to be obtained or provided by such Party as of the Execution Date or the Effective Date Date, as applicable, in connection with the execution, delivery delivery, and performance of this Agreement have been obtained and provided, except for those approvals, if any, not required at as of the time of execution of this AgreementExecution Date or the Effective Date, as applicable.
