All Necessary Actions Taken. The Seller and the Issuer shall have taken all necessary actions set forth in the Contribution and Sale Agreement to transfer from such Seller to the Issuer title to such Container and all related Leases. The foregoing requirements are subject to modification at the request of Issuer upon satisfaction of the Rating Agency Condition in each instance.
