ALL NECESSARY INFORMATION RECEIVED. Investor has had all documents, records, books and due diligence materials pertaining to the Company and the Securities and the transactions contemplated by this Agreement made available to Investor and Investor's accountants and advisors; Investor has also had an opportunity to ask questions and receive answers concerning the Company and the Securities and the transactions contemplated by this Agreement; and Investor has all of the information deemed by Investor to be necessary or appropriate to evaluate the Company and the Securities and the transactions contemplated by this Agreement and the risks and merits thereof and an investment in the Securities.
