All Proceedings to be Satisfactory. All necessary director and shareholder resolutions, waivers and consents and all other actions to be taken by the Shareholders and the Company in connection with the consummation of the transactions contemplated hereby and all certificates, opinions, instruments, and other documents required to effect the transactions contemplated hereby shall be satisfactory in form and substance to Parent and the Merger Sub and their counsel.
