Common use of Allocation Among Investor Units Clause in Contracts

Allocation Among Investor Units. Except as otherwise provided in this Agreement, all Distributions and allocations made to the Investor Units shall be in the ratio of the number of Investor Units held by each such Member on the date of such allocation (which allocation date shall be deemed to be the last day of each month) to the total outstanding Investor Units as of such date, and, except as otherwise provided in this Agreement without regard to the number of days during such month that the Investor Units were held by each Member. For purposes of this Section 4, an Economic Interest Owner shall be treated as a Member. Members who purchase Investor Units at different times during the Company tax year shall be allocated Net Income and Net Loss using the monthly convention set forth in Section 4.7.
