Common use of Allocation of Base Purchase Price Clause in Contracts

Allocation of Base Purchase Price. Seller and Buyer agree that the Base Purchase Price shall be allocated among the Assets as set forth on Exhibit “C” (the “Allocated Values”) for the purpose of (i) providing notices, or obtaining waivers, of any Preferential Purchase Rights, (ii) determining the value of a Title Defect, and (iii) handling those instances for which the Base Purchase Price is to be adjusted.

Allocation of Base Purchase Price. Exhibit C attached hereto sets forth the working interests and associated net revenue interests attributable to all Xxxxx. Seller and Buyer agree that the Base Purchase Price shall be allocated among the Assets as set forth on Exhibit “C” (the “Allocated Values”) for the purpose of (i) providing notices, or obtaining waivers, of any Preferential Purchase Rights, (ii) determining the value of a Title Defect, and (iii) handling those instances for which the Base Purchase Price is to be adjusted.

Seller and Buyer agree that the Base Purchase Price as adjusted shall be allocated among the Assets Interests as set forth on Exhibit “CA” (the “Allocated ValuesValue”) for the purpose of of: (ia) providing noticesestablishing a basis for certain taxes, or (b) obtaining waivers, waivers of any Preferential Purchase Rightspreferential rights to purchase the Interests, (iic) determining the value of a Title Defect, and (iiid) handling those instances for which the Base Purchase Price is to be adjusted.

Allocation of Base Purchase Price. Seller Sellers and Buyer agree that the Base Purchase Price shall be allocated among the Assets as set forth on the attached Exhibit “CC-1 - Xxxxx” and Exhibit “C-2 - Undeveloped Leases” (the “Allocated Values”) for the purpose of (i) providing notices, or obtaining waivers, of any Preferential Purchase RightsRights affecting any Asset(s), (ii) determining the value of a Title Defect, Defect and (iii) handling those instances for which the Base Purchase Price is to be adjusted.
