ALLOCATION OF MINIMUM TAX CREDITS. No portion of the consolidated minimum tax credit of the Adaptec Group shall be allocated to Roxio when Roxio leaves the group. If the Treasury Department issues regulations that require the allocation to Roxio of a portion of the group's consolidated minimum tax credit, Roxio shall be required to pay to Adaptec the amount of the credit so allocated.
