Allocation of Partnership Income and Loss. With respect to the income or loss of the Project Company for an Acquisition for the fiscal year in which the Closing occurs, the Purchaser shall cause such Project Company to allocate income or loss of such Project Company with respect to the Acquired Interests for such Acquisition for the period up to and including the Closing Date to the Seller, and to allocate income or loss of such Project Company with respect to such Acquired Interests for the period after the Closing Date to Purchaser.
