Common use of Allotment and Issuance of Units Clause in Contracts

Allotment and Issuance of Units. ‌ The Partnership GP may allot and issue Units at such time or times and in such manner (including, without limitation, pursuant to any plan from time to time in effect relating to reinvestment by Limited Partners of distributions of the Partnership in Units) and for such consideration and to such Person or class of Persons as the Partnership GP in its sole discretion shall determine and may do all things in that regard including preparing and filing prospectuses, offering memoranda and other documents, paying the expenses of issue and entering into agreements with any Person providing for a commission or fee. For greater certainty, the Partnership GP may take all steps necessary to give effect to any Offering. In the event that Units are issued in whole or in part for a consideration other than money, the resolution of the Partnership GP allotting and issuing such Units shall express the fair equivalent in money of the other consideration received.
