The "Alternative Basis for Data Processing and Transfer" clause establishes that if the primary legal grounds for processing or transferring data become invalid or unavailable, the parties may rely on alternative legal bases to continue such activities. In practice, this means that if, for example, a specific data transfer mechanism like the EU-U.S. Privacy Shield is invalidated, the parties can switch to another recognized mechanism such as Standard Contractual Clauses or Binding Corporate Rules. This clause ensures continuity in data processing and transfer operations, minimizing disruptions and maintaining compliance with data protection laws even if the legal landscape changes.

The Participant understands that the Company may rely on a different legal basis for the processing or transfer of Data in the future and/or request that the Participant provide another data privacy consent form. If applicable and upon request of the Company, the Participant agrees to provide an executed acknowledgement or data privacy consent form to the Employer or the Company (or any other acknowledgements, agreements or consents that may be required by the Employer or the Company) that the Company and/or the Employer may deem necessary to obtain under the data privacy laws in the Participant’s country, either now or in the future. The Participant understands that he or she will not be able to participate in the Plan if he or she fails to execute any such acknowledgement, agreement or consent requested by the Company and/or the Employer.
