Amalgamated Company Bye-Laws. The parties hereby agree, pursuant to Section 1.4 of the Agreement, that the bye-laws of the Amalgamated Company shall be in the form attached as Annex 4 to this Amendment, as may be amended or modified from time to time after the date of this Amendment and prior to the Effective Time by the mutual written agreement of the parties.
Amalgamated Company Bye-Laws. The bye-laws of the Amalgamated Company shall be the bye-laws of the Amalgamation Sub, which are attached hereto as Exhibit B (as they may be amended or modified from time to time after the date hereof and prior to the Effective Time by the mutual written agreement of the parties in each case).

  • Incorporation and Corporate Power The Company is an exempted company duly incorporated, validly existing and in good standing under the laws of the Cayman Islands and is qualified to do business in every jurisdiction in which the failure to so qualify would reasonably be expected to have a material adverse effect on the financial condition, operating results or assets of the Company.
