AMALGAMATION, RECONSTRUCTION. 17.1 If the Company is wound up for the purposes of reconstruction or amalgamation the Executive shall not as a result or by reason of any termination of the Appointment or the redefinition of his duties within the Company or the Group arising or resulting from any reorganisation or amalgamation of the Group have any claim against the Company or any other Group Company for damages for termination of the Appointment or otherwise so long as he shall be offered employment with any concern or undertaking resulting from such reconstruction reorganisation or amalgamation on terms and conditions no less favourable to the Executive than the terms contained in this agreement.
17.2 If the Executive shall at any time have been offered but shall have unreasonably refused or failed to agree to the transfer of this agreement by way of novation to a company which has acquired or agreed to acquire not less than 50 per cent of the equity share capital of the Company the Company may terminate the Appointment by such notice as is required by section 86 of the Employment Rights ▇▇▇ ▇▇▇▇ given within one month of such offer.
AMALGAMATION, RECONSTRUCTION. If before the expiration of this Agreement the employment of the Executive shall be terminated by reason of the liquidation of the Company for the purpose of amalgamation or reconstruction or as any part of an arrangement for the amalgamation of the undertaking of the Company not involving liquidation and the Executive shall be offered employment with the amalgamating or reconstructed company for a period not less than the unexpired term of this Agreement and on terms no less favorable than the terms of this Agreement the Executive shall have no claim against the Company in respect of the termination of his employment by the Company.
AMALGAMATION, RECONSTRUCTION. 14.1. In the event of the Company going into voluntary liquidation for the purpose of amalgamation or reconstruction, the Executive shall not by reason thereof or by reason of any termination of his/her employment hereunder arising or resulting there from have any claim for damages or otherwise for termination of his/her employment hereunder so long as the Executive shall be offered employment on terms no less favourable and in a position of similar status and responsibilities than those contained in this Agreement by any company succeeding to the whole or any part of the business or undertaking of the Company.
