Common use of AME Sublicense Clause in Contracts

AME Sublicense. Novartis hereby grants to Buyer a sublicense to the patent rights listed in Section 1.2 (“AME Patent Rights”) of that certain sublicense agreement entered into by and between Morphosys and Applied Molecular Evolution (“AME Sublicense Agreement”), to the extent necessary to practice any rights granted by Novartis to Buyer herein; provided, however, that the sublicense to the AME Patent Rights shall be subject to the limitations of the AME Sublicense Agreement and the “Xxxxxxxx Agreement” (as such term is defined in Section 1.10 of the AME Sublicense Agreement).
