Amended and Restated Articles of Incorporation and Bylaws. (a) The Amended and Restated Articles of Incorporation (the "Restated Articles") of the Company in effect immediately prior to the Effective Time shall be the Articles of Incorporation of the Surviving Corporation until amended in accordance with applicable law. (b) The Bylaws of the Company in effect at the Effective Time shall be the Bylaws of the Surviving Corporation until amended in accordance with applicable law.
