The Purchasers and the Company shall have entered into the Amended and Restated Shareholders Agreement in substantially the form attached hereto as Exhibit B, and the Amended and Restated Shareholders Agreement shall have been executed and delivered by persons holding a sufficient amount of shares of the Company to amend the Shareholders Agreement, dated January 20, 2006, among the Company and certain holders of Series A Preferred and Common Stock named therein, as amended.
