Common use of Amendment and Restatement of Prior Rights Agreement Clause in Contracts

Amendment and Restatement of Prior Rights Agreement. Upon the effectiveness of this Agreement, the Prior Rights Agreement shall be amended and restated as set forth herein and be of no further force and effect, and shall be superseded and replaced in its entirety by this Agreement.

Amendment and Restatement of Prior Rights Agreement. The Prior Rights Agreement is hereby amended in its entirety as restated herein. Such amendment and restatement is effective upon the execution of the Agreement by the Company and the Requisite Parties. Upon the effectiveness of this Agreementsuch execution, all provisions of, rights granted and covenants made in the Prior Rights Agreement are hereby waived, released and superseded in their entirety and shall be amended and restated as set forth herein and be of have no further force and or effect, and shall be superseded and replaced in its entirety by this Agreement.

Such amendment and restatement is effective upon the effectiveness execution of this Agreement by the Company and the parties required for an amendment pursuant to Section 9.8 of the Prior Rights Agreement. Upon such execution, all provisions of, rights granted and covenants made in the Prior Rights Agreement are hereby waived, released and superseded in their entirety by the provisions hereof and shall be amended and restated as set forth herein and be of have no further force and or effect, and shall be superseded and replaced in its entirety by this Agreement.
